3. Design Services Terms

Scope: Services are limited to those outlined in the signed engagement agreement. Additional requests may incur extra fees.

The client agrees to provide access to the project space, communicate preferences clearly, provide prompt feedback, disclose constraints, and obtain all necessary permits.

4. Fees and Payment

Fees and payment schedules are specified in the signed engagement agreement. A retainer is required before services commence. Invoices are due within 30 days. Late payments may result in service suspension and interest charges.

5. Intellectual Property

All designs, renderings, and intellectual property remain the property of IO Design Build, LLC until full payment is received. The client receives a non-exclusive license to use the design for the specific contracted project.

6. Project Timeline

Estimated timelines are provided in good faith but are not guaranteed. Delays may result from client modifications, permit delays, or unforeseen site conditions. Scope changes may require timeline and fee adjustments.

7. Cancellation and Termination

If cancelled after engagement commences, the client remains responsible for fees incurred to date. The Company may terminate services for non-payment or failure to comply with project requirements.

8. Liability Limitations

Our liability is limited to fees paid for services. We are not responsible for indirect or consequential damages. Design services are for aesthetic guidance only and do not include structural, electrical, or code compliance consultation unless explicitly contracted.

9. Warranty Disclaimer

All services are provided "as is." We do not guarantee specific outcomes, as final results depend on contractor execution and site conditions beyond our control.

10. Confidentiality

Both parties agree to maintain confidentiality regarding project-specific information. We may use completed projects for portfolio and marketing purposes.

11. Governing Law

These terms are governed by the laws of Washington, DC. Both parties agree to attempt mediation before litigation. If litigation becomes necessary, both parties consent to Washington, DC jurisdiction.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of our services constitutes acceptance of updated terms.
